General terms and conditions of sale of Tecnibo Belgium S.A.

In order to ensure the expected satisfaction with our deliveries and services, it is essential that certain reasonable working conditions are guaranteed to us.


These general terms and conditions apply as soon as a company (the “Client”) entrusts Tecnibo Belgium S.A. (the “Company”) with the execution of custom fitting-out works, including, but not limited to, the supply, manufacture, and installation of furniture, partitions, or any other equipment integrated into the premises during the works (the “Works”).


Unless expressly agreed otherwise in writing, any contract with Tecnibo Belgium S.A. is subject to the unconditional acceptance of these general terms and conditions, even if they conflict with the Client’s general or specific terms and conditions. By signing a contract with the Company, the Client expressly acknowledges having read these general terms and conditions and accepting them without reservation.


1. PRICE

    The unit prices remain valid for any modification of quantity less than 15% of the quantities mentioned in the order.

    The prices are always expressed as unit prices per square meter, even when a total price is mentioned.​

    The prices include: measurement taking, execution drawings and manufacturing, supply of materials and raw materials, transport to the site and handling, provision and use of scaffolding, on-site installation, cleaning of our works, removal of our materials and waste, as well as the “as-built” file.

    The prices are valid only for the dimensions indicated in the offer.

    Quality, dimension, thickness or color tolerances are those of the Company’s suppliers. The same applies to the warranty on the supplies.

    The prices include the preparation of drawings by the Company for approval before manufacturing, as well as a maximum of two modifications per floor. No material will be put into production before the drawings are approved.

    Any pro rata payment or compensation related to construction costs can only be made with the written agreement of the Company.


2. SITE

Before the Works:

    Floor screeds, floor coverings or finishes must be laid and capable of supporting the movement of rolling scaffolding.

    Buildings must be dry, enclosed and fitted with windows, with a temperature maintained by the Client above 15°C.

    Ambient humidity must be controlled and between 40% and 60%.

    Movable partitions and furniture must be installed in a clean, dust-free environment.

    The reference level will be indicated by the Client in each room. If not, the Company will define a reference level without being held responsible for any error.


During the Works:

    The spaces must be as clear as possible to allow the movement of scaffolding.

    The Client shall protect fixed furniture and machines.

    The Client shall provide the following free of charge to the Company:

        lighting and electricity;

        a dry, secure room near the site for storing materials and raw materials;

        for works on the first floor and above, a hoist with an operator.

    The Works are organized to ensure effective cooperation between the craftsmen responsible for integrated techniques and the Company, without hindering the progress of the site.

    Any deviation from these conditions may lead to interruption of the works and/or invoicing of a compensatory indemnity.


3. DEADLINES

Unless otherwise agreed between the parties, delivery times are as follows:

    6 weeks for movable partitions after signing the order form, approval of finishes and drawings, and payment of the deposit.

    8 weeks for furniture after signing the order form, approval of finishes and drawings, and payment of the deposit.

    8 to 10 weeks for mobile partitions after signing the order form, approval of finishes and drawings, and payment of the deposit.

    10 weeks for movable partitions and BEATLE-type doors after signing the order form, approval of finishes and drawings, and payment of the deposit.

    12 weeks for special doors (fire-rated, acoustic, etc.) after signing the order form, approval of finishes and drawings, and payment of the deposit.


The timeframes for measurements and preparation of production drawings are set according to the Company’s schedule.


(The deadlines exclude legal holidays and factory shutdowns.)


4. WORKS

4.1 Execution of the works

    The Works take place, unless otherwise agreed, from Monday to Friday, from 7:30 a.m. to 4:00 p.m., excluding public holidays.

    The start date of the Works is agreed between the parties when signing the order form.

    Production deadlines are given for information purposes only and start after receipt of the approved drawings.


4.2 Additional works

    Any extension of the Works provided for in the initial contract is subject to the agreed unit prices, with a possible surcharge for transport.

    Works not provided for in the basic contract will be carried out on a time and materials basis.


5. ACCEPTANCE

    The Works are subject to weekly provisional acceptance. Any subsequent deterioration caused by other parties is the responsibility of the Client.

    Sending the final invoice constitutes a request for final acceptance, which is deemed acquired as of right within ten days after the date of the invoice.


6. ORDER CANCELLATION

Any cancelled order will be invoiced at 25% of its value as compensation for the technical, commercial, and administrative costs incurred, as well as lost profit, without prejudice to reimbursement of any specific materials ordered.

7. PAYMENTS


    30% of the amount is payable upon order, without discount.

    Invoices are payable within 30 calendar days after issuance, except for the deposit, payable within 8 days.

    Any delay will result in a surcharge of 15% (minimum €50) and interest of 10% per annum.


8. TRANSFER OF RISKS

Risk is transferred progressively as the Works and deliveries are carried out.


9. IMAGE RIGHTS

By signing these general terms and conditions, the Client authorizes the Company to use images of their premises on various communication media.


10. JURISDICTION

In the event of a dispute, the courts of Brussels have exclusive jurisdiction, after an attempt at mediation.


11. DATA PROTECTION
